Terms and Agreement

This agreement is made between Passion Fruit Media, LLC (referred to as “the Company,” “we,” “us,” or “our”) and the client (referred to as “you,” “your,” or “the Client”) regarding the purchase and provision of website design services as outlined herein.

1. Scope of Work:

1.1 The Company agrees to provide the Client with website design services as described in the service package selected and paid for by the Client on our website.

1.2 The specific deliverables and timeline for the completion of the project will be outlined in the project proposal provided to the Client.

2. Client Responsibilities:

2.1 The Client agrees to provide all necessary materials, content, and information required for the completion of the website design project in a timely manner.

2.2 The Client acknowledges that any delays in providing required materials may impact the project timeline and may result in additional charges.

3. Payment Terms:

3.1 The Client agrees to pay the full amount specified for the selected service package on our website at the time of purchase.

3.2 Additional charges may apply for any extra services requested by the Client beyond the scope of the original service package.

3.3 Payments are non-refundable once the project has commenced, except as outlined in the refund policy specified on our website.

4. Intellectual Property:

4.1 The Client retains ownership of all intellectual property rights to any content, materials, or information provided to the Company for use in the website design project.

4.2 Upon completion of the project and full payment of all fees, the Company grants the Client a non-exclusive license to use the final website design for its intended purpose.

5. Confidentiality:

5.1 Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of the project.

5.2 The Client agrees not to disclose any confidential information regarding the Company’s business practices, methodologies, or trade secrets to third parties.

6. Limitation of Liability:

6.1 The Company shall not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use the website design services provided.

6.2 In no event shall the total liability of the Company exceed the total amount paid by the Client for the specific service package purchased.

7. Governing Law:

7.1 This agreement shall be governed by and construed in accordance with the laws of NC.

8. Modification and Termination:

8.1 The Company reserves the right to modify or amend these terms and conditions at any time. Any changes will be effective immediately upon posting on our website.

8.2 Either party may terminate this agreement upon written notice if the other party fails to fulfill its obligations under this agreement.

By purchasing our website design services, you acknowledge that you have read, understood, and agreed to be bound by these terms and conditions.
